By accessing or using ProjectCoach AI Forge Edition (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Description of Service

ProjectCoach AI Forge Edition is a desktop application that allows users to:

  • Compare multiple AI services (ChatGPT, Claude, Gemini, Perplexity, etc.) side-by-side
  • Use Quick Chat mode to switch between AI models seamlessly
  • Generate AI synthesis using 7 different analysis modes
  • Manage AI conversations and comparisons locally on their device
  • Export and share comparison results

The Service is available in multiple tiers:

  • Starter (Free): Unlimited comparisons, 30 syntheses/month, all AI models
  • Creator ($14.95/month): 100 syntheses/month, premium AI models, priority processing
  • Professional ($34.95/month): 300 syntheses/month, advanced features
  • Team ($59.95/month): Unlimited syntheses, team collaboration features

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you may need to create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access

3.2 Account Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this age requirement.

3.3 Account Termination

You may terminate your account at any time through the app settings. We reserve the right to suspend or terminate your account if you violate these Terms.

4. Subscription and Payment

4.1 Subscription Tiers

Subscriptions are billed monthly. Your subscription will automatically renew each month unless you cancel. Pricing:

  • Professional: $34.95/month
  • Team: $59.95/month

4.2 Payment Processing

Payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.

4.3 Cancellation and Refunds

  • You may cancel your subscription at any time
  • Cancellation takes effect at the end of your current billing period
  • No partial refunds for unused time in the current billing period
  • We may offer refunds at our discretion for extenuating circumstances

4.4 Price Changes

We reserve the right to change our pricing. We will notify you at least 30 days before any price increase takes effect. Continued use after the price change constitutes acceptance of the new price.

5. Acceptable Use

5.1 Permitted Use

You may use the Service for lawful purposes only. You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Transmit harmful code or malware
  • Attempt to gain unauthorized access to our systems
  • Reverse engineer or decompile the Service
  • Use the Service to harass, abuse, or harm others
  • Share your account credentials with others
  • Use automated systems (bots) to abuse the Service

5.2 Third-Party AI Services

ProjectCoach AI Forge Edition is an interface to third-party AI services. You are responsible for:

  • Complying with the terms of service of each AI provider
  • Maintaining your own accounts and subscriptions with AI providers
  • Any costs associated with third-party AI services

We are not responsible for the availability, quality, or content of third-party AI services.

6. Intellectual Property

6.1 Our Rights

The Service, including its software, design, graphics, and content, is owned by Xencore Global GmbH and protected by copyright, trademark, and other intellectual property laws.

6.2 Your Rights

You retain all rights to the content you create using the Service. We claim no ownership over your AI conversations, comparisons, or any content you generate.

6.3 License to Use

We grant you a limited, non-exclusive, non-transferable license to use the Service for your personal or internal business purposes.

7. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Key privacy highlights:

  • Your AI conversations are stored locally on your device only
  • We do not access, store, or share your conversation content
  • We comply with Swiss FADP and EU GDPR regulations
  • Data is stored primarily in Switzerland

8. Disclaimers and Limitations of Liability

8.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2 No Guarantee of Availability

We do not guarantee that the Service will be uninterrupted, secure, or error-free. Third-party AI services may be unavailable at times, which is beyond our control.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY SWISS LAW, XENCORE GLOBAL GMBH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR CHF 100, WHICHEVER IS GREATER.

8.4 Third-Party Services

We are not responsible for the content, accuracy, or availability of third-party AI services. Any issues with AI providers should be directed to them.

9. Indemnification

You agree to indemnify, defend, and hold harmless Xencore Global GmbH, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your violation of applicable laws

10. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

  • Email notification (if you have an account)
  • In-app notification
  • Posting the updated Terms on our website

Changes will take effect 30 days after notification. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.

11. Termination

11.1 By You

You may stop using the Service and delete your account at any time.

11.2 By Us

We may suspend or terminate your access to the Service if:

  • You violate these Terms
  • We are required to do so by law
  • Providing the Service is no longer commercially viable
  • You engage in fraudulent or abusive behavior

11.3 Effect of Termination

Upon termination:

  • Your right to use the Service immediately ends
  • Your account data will be deleted according to our Privacy Policy
  • Local data on your device remains under your control
  • No refunds will be provided for unused subscription time

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Switzerland, without regard to conflict of law principles.

12.2 Jurisdiction

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Zurich, Switzerland.

12.3 Dispute Resolution

Before filing any legal claim, you agree to first contact us at legal@projectcoachai.com to attempt to resolve the dispute informally. We will work in good faith to resolve any issues.

13. Miscellaneous

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Xencore Global GmbH regarding the Service.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

13.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, natural disasters, or internet service provider failures.
